These Terms and Conditions ("Terms") govern your use of the Pelita website at pelitaa.pro and the advisory services we provide. By using our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or engage our services.

Pelita is a business practice providing AI integration advisory services to government agencies and government-linked companies in Malaysia, registered and operating under Malaysian law. Queries may be directed to [email protected].

Definitions

In these Terms, the following words have the meanings set out below:

Term Meaning
"Pelita", "we", "us", "our" The advisory practice operating as Pelita, Unit 14-2, Menara Prudential, Persiaran Tropicana, 47410 Petaling Jaya, Selangor.
"Website" The website located at pelitaa.pro and all pages and content therein.
"Services" The AI integration advisory engagements provided by Pelita, including the Service Reading Review, Drafting & Reading Pilot, and Quarterly Stewardship.
"Client", "you", "your" Any government agency, government-linked company, or individual that uses the Website or engages Pelita's Services.
"Engagement Letter" The written agreement or formal proposal exchanged between Pelita and a Client that sets out the scope, fees, and conditions for a specific Service engagement.
"Deliverables" Written briefs, reports, policy frameworks, training materials, or any other outputs produced by Pelita in the course of a Service engagement.
"PDPA" The Personal Data Protection Act 2010 of Malaysia.
"MAMPU" The Malaysian Administrative Modernisation and Management Planning Unit, which issues guidelines on government digital administration.

Use of Website

You may use the Website for lawful purposes only, to learn about Pelita's advisory practice and to make enquiries about our Services. You agree not to use the Website in any manner that could damage, overload, or impair its operation, or that could interfere with any other party's use.

You must not attempt to gain unauthorised access to any part of the Website or any systems or networks connected to it. You must not introduce malicious code, conduct scraping or automated extraction, or use the Website to distribute unsolicited communications.

The Website is directed at persons accessing it from Malaysia. We make no representation that the content of the Website complies with the laws of any other jurisdiction. Persons who access the Website from outside Malaysia do so of their own accord and are responsible for compliance with their local laws.

Advisory Services and Engagement

Information on the Website about our Services — including descriptions and indicative fees — is provided for reference only and does not constitute a binding offer. A Service engagement becomes binding only upon the execution of an Engagement Letter signed by an authorised officer of both Pelita and the Client.

Indicative fees published on the Website are exclusive of any applicable taxes, government levies, or disbursements, unless explicitly stated otherwise in the Engagement Letter. Fees are quoted in Malaysian Ringgit (MYR) and are subject to change. The fees applicable to a specific engagement are those confirmed in the relevant Engagement Letter.

Our advisory outputs are prepared with care and with reference to applicable Malaysian frameworks including MyDigital, MAMPU guidelines, and the PDPA. However, our advisory opinions are not legal opinions, and Clients should seek independent legal counsel where required. Final decisions in relation to citizen services, correspondence, and case handling remain at all times with the Client's authorised officers.

Either party may terminate an engagement in accordance with the terms set out in the relevant Engagement Letter. Where no specific termination provision applies, reasonable written notice of not less than fourteen (14) days should be given.

Intellectual Property

All content on the Website — including text, layout, design, graphics, and code — is the intellectual property of Pelita or its content licensors, and is protected under Malaysian intellectual property law. You may not reproduce, distribute, modify, or use any Website content for commercial purposes without our prior written consent.

Deliverables produced under an engagement are assigned to the Client upon full settlement of fees, unless stated otherwise in the Engagement Letter. Pelita retains the right to use anonymised and aggregated learnings from engagements for internal quality improvement and for the development of its practice.

Any tools, templates, frameworks, or methodologies brought to an engagement by Pelita remain the intellectual property of Pelita. Their use within the Client's organisation is permitted only as described in the Engagement Letter and does not constitute a transfer of ownership.

Confidentiality

Pelita takes the confidentiality of Client information seriously. We treat all documents, case files, correspondence samples, and operational information shared with us in the course of an engagement as strictly confidential. We do not disclose Client materials to third parties, except where required by applicable law or as expressly authorised in writing by the Client.

Clients are similarly expected to treat Pelita's methodologies, internal frameworks, and engagement proposals as confidential and not to share them with third parties without Pelita's prior written agreement.

Confidentiality obligations under these Terms and any Engagement Letter survive the conclusion of the engagement for a period of three (3) years, unless a different period is agreed in writing.

Limitation of Liability

To the extent permitted by Malaysian law, Pelita's aggregate liability to any Client in connection with any engagement shall not exceed the total fees paid by that Client under the relevant Engagement Letter during the twelve (12) months preceding the event giving rise to the claim.

Pelita shall not be liable for any indirect, consequential, incidental, or special loss or damage, including loss of revenue, loss of data, or loss of goodwill, arising from the use of our Services or the Website, whether in contract, tort, or otherwise, even if we have been advised of the possibility of such loss.

Nothing in these Terms limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot be excluded or limited under applicable Malaysian law.

Disclaimers

The Website and its content are provided on an "as available" basis. We endeavour to keep information current and accurate but make no representation or warranty — express or implied — as to completeness, accuracy, fitness for a particular purpose, or non-infringement.

Advisory outputs produced by Pelita reflect our considered professional judgement at the time of delivery, drawing on information provided by the Client and publicly available guidelines. They are not legal opinions. The Client is responsible for any decision made on the basis of Pelita's advisory output.

Links to third-party websites on our Website are provided for reference only. Pelita does not endorse and is not responsible for the content, accuracy, or practices of any linked third-party site.

Personal Data and Privacy

Pelita processes personal data in accordance with the PDPA and our Privacy Policy, which is available at privacy-policy.html. By using the Website or engaging our Services, you acknowledge that you have read and understood the Privacy Policy.

Where an engagement involves access to citizen data or agency records, any such access is governed by a separate data processing agreement and by the applicable authorisation issued by the Client's data controller, in compliance with the PDPA and relevant MAMPU guidelines.

Governing Law and Dispute Resolution

These Terms are governed by and shall be construed in accordance with the laws of Malaysia. Any dispute arising from or in connection with these Terms or any engagement shall be subject to the exclusive jurisdiction of the courts of Malaysia.

Before commencing formal proceedings, both parties agree to attempt to resolve any dispute in good faith through direct discussion between senior representatives of each party. If a dispute is not resolved within thirty (30) days of written notice, either party may proceed to formal legal proceedings.

Amendments

We may revise these Terms from time to time. When we do, we will update the Last Updated date at the top of this page. We encourage you to review this page periodically. Your continued use of the Website or our Services after any changes are published constitutes your acceptance of the revised Terms.

Material changes to the Terms that affect existing Clients under active Engagement Letters will be communicated by email with no less than fourteen (14) days' notice before taking effect for those engagements.
